- 1. ABOUT THESE TERMS1.1
These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein (collectively, the “Terms”), constitute a legally binding agreement between you, Talangi Selection Privee (Pty) Ltd and Talangi Private Cellar (Pty) Ltd (“Talangi”, “we”, “us”, “our”).
1.2These Terms govern your access to and use of all Talangi platforms, including but not limited to:
• our website(s);• mobile or tablet versions thereof;• online stores;• digital membership portals;• email communications;• social media platforms;• event registration portals; and• any other digital or technological interface used to interact with Talangi(collectively, the “Platforms”).
1.3We reserve the right to amend these Terms at any time. Updated versions will be published on our Platforms and will be effective from the date of publication. Your continued use of the Platforms after publication constitutes acceptance of the amended Terms.
- 2. AGE RESTRICTION & RESPONSIBLE USE2.1
Talangi Private Cellar operates in compliance with South African liquor laws
You must be 18 years or older to access, browse, purchase from, or interact with any alcohol-related content or services on our Platforms.
2.2By using our Platforms, you warrant that you are of legal drinking age in your jurisdiction.
2.3We promote responsible consumption of alcohol. Nothing on our Platforms constitutes encouragement of excessive or irresponsible alcohol use.
- 3. USER ACCOUNTS & LOGIN DETAILS3.1
Certain Platforms or services (including membership clubs, allocations, private releases, or concierge services) may require you to create an account or log in.
3.2Your username, password, or other access credentials (“User ID”) are personal and confidential. You:
• must keep your User ID secure and confidential;• must notify us immediately if you suspect unauthorised access;• are responsible for all activity conducted under your User ID;• may not create multiple or false accounts;• may not attempt to bypass our security or authentication systems.3.3Talangi will not be liable for any loss or damage arising from unauthorised use of your User ID due to your failure to safeguard your credentials.
- 4. CONTENT & INTELLECTUAL PROPERTY4.1
Definitions
• “Content” includes all text, images, photographs, video, audio, graphics, logos, labels, artwork, bottle designs, packaging concepts, stories, data, software, and any other material appearing on our Platforms.• “Intellectual Property Rights” include all copyrights, trademarks, trade names, designs, logos, brand elements, trade dress, domain names, and any other proprietary rights, whether registered or unregistered.4.2Our Content
4.2.1All Content on the Platforms is owned by or licensed to Talangi Private Cellar and is protected by South African and international intellectual property laws.
4.2.2You may not, without our prior written consent:
• copy, reproduce, distribute, sell, license, or commercially exploit any Content;• use our Content for branding, resale, or promotional purposes;• remove copyright, trademark, or proprietary notices;• frame or mirror any part of our Platforms.4.2.3You may view, download, or print Content solely for personal, non-commercial use, subject to applicable copyright law.
- 5. USER-GENERATED CONTENT5.1
Certain Platforms may allow you to submit reviews, comments, images, or other content (“Your Content”).
5.2You retain ownership of Your Content; however, by submitting it, you grant Talangi an irrevocable, perpetual, worldwide, royalty-free licence to use, reproduce, publish, display, adapt, and promote such Content across any medium.
5.3You warrant that:
• you own or have permission to submit Your Content;• Your Content does not infringe any third-party rights;• Your Content is lawful, respectful, and not harmful, defamatory, or offensive.5.4Talangi reserves the right (but not the obligation) to remove or moderate any Content that breaches these Terms or is inconsistent with our brand values.
- 6. COMMUNICATIONS & MARKETING6.1
By using our Platforms, you consent to receive communications from Talangi relating to:
• product releases and allocations;• events and tastings;• memberships and private clubs;• promotions and brand experiences.6.2You may opt out of marketing communications at any time in accordance with our Privacy Policy and applicable law.
- 7. AVAILABILITY OF PLATFORMS7.1
We endeavour to ensure continuous availability of our Platforms but do not guarantee uninterrupted access.
7.2We may suspend, withdraw, or modify any part of our Platforms without notice for operational, security, or legal reasons.
- 8. THIRD-PARTY LINKS8.1
Our Platforms may contain links to third-party websites or services. Talangi has no control over and assumes no responsibility for their content, policies, or practices.
8.2Your use of third-party platforms is at your own risk.
- 9. SECURITY & PRIVACY9.1
We implement reasonable technical and organisational measures to protect the integrity and security of our Platforms.
9.2You may not engage in any activity that compromises or attempts to compromise the security or functionality of our Platforms.
9.3Personal information is processed in accordance with our Privacy Policy and the Protection of Personal Information Act, 2013 (POPIA).
- 10. DISCLAIMER & LIMITATION OF LIABILITY10.1
Use of our Platforms is entirely at your own risk.
10.2To the fullest extent permitted by law:
• Talangi makes no warranties regarding accuracy, completeness, or availability of Content;• all Platforms are provided “as is” and “as available”;• Talangi shall not be liable for any direct, indirect, incidental, or consequential damages arising from use of the Platforms.10.3Nothing on our Platforms constitutes legal, financial, medical, or professional advice.
- 11. USER CONDUCT
You agree not to:
• violate any law or regulation;• upload harmful, defamatory, abusive, or unlawful content;• infringe intellectual property rights;• spam or misuse our Platforms;• use our Platforms for unauthorised commercial purposes. - 12. COMPETITIONS & PROMOTIONS12.1
From time to time, Talangi may conduct competitions or promotions subject to specific rules published on the relevant Platform.
12.2Employees, directors, agents, and immediate family members may be excluded.
12.3Prizes are non-transferable and subject to applicable law
- 13. TERMINATION13.1
We may suspend or terminate your access to our Platforms at any time if you breach these Terms or applicable law.
13.2Termination does not affect accrued rights or obligations.
- 14. GENERAL14.1
If any provision of these Terms is unenforceable, the remaining provisions shall remain valid.
14.2These Terms are governed by the laws of the Republic of South Africa.
14.3You consent to the exclusive jurisdiction of the courts of the Republic of South Africa
